1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Pace Wireless LLC ("Pace Wireless", "we", "us", or "our"), governing your access to and use of the HaLow Portal (located at halow.pacewirelessllc.com), the HaLow cloud telemetry APIs, MQTT broker endpoints, Web Push notification systems, firmware binaries, device management utilities, desktop flasher applications (including HaLow Flasher), and all associated documentation (collectively, the "Services").
BY CREATING AN ACCOUNT, ACCESSING THE PORTAL, PROVISIONING OR FLASHING HARDWARE WITH OUR PLATFORM, CONNECTING A COMPATIBLE WI-FI HALOW (IEEE 802.11ah) DEVICE, OR USING ANY PORTION OF THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT ACCESS OR USE THE SERVICES.
2. Accounts, Authentication & Auth Key Security
To access protected platform features and register sensor or actuator hardware, you must register for an account. You agree to:
- Provide accurate, current, and complete registration information.
- Maintain the confidentiality and security of your account password and unique provisioning credentials ("Auth Key").
- Be solely responsible for all activities, data transmissions, and device commands executed under your account or using your Auth Key.
- Promptly regenerate your Auth Key and notify Pace Wireless LLC immediately upon discovering any unauthorized use or security compromise of your credentials.
3. Hardware, Firmware Flashing & Flasher Disclaimers
Pace Wireless LLC provides downloadable firmware images, reference applications, and flashing utilities (including the HaLow Flasher desktop application) to evaluate, configure, and provision compatible microcontrollers and Wi-Fi HaLow development boards.
Flashing firmware involves low-level serial (UART/USB) communications, bootloader manipulation, and hardware memory writes. You acknowledge and agree that flashing firmware or modifying board software carries inherent operational risks, including but not limited to: permanent device bricking, hardware memory corruption, electrical failure, radio transmission disruption, or hardware malfunction.
PACE WIRELESS LLC SHALL NOT BE LIABLE FOR ANY DAMAGED, UNRESPONSIVE, OR "BRICKED" HARDWARE, SENSORS, PERIPHERALS, COMPUTERS, OR RELATED COMPONENTS ARISING FROM THE USE OF FIRMWARE BUILDS, FLASHING UTILITIES, SERIAL DRIVERS, OR IMPROPER HARDWARE WIRING. YOU EXECUTE ALL FLASHING OPERATIONS ENTIRELY AT YOUR OWN RISK.
4. Controllable Devices, Actuators & Remote Commands
Certain hardware configurations supported by the platform are controllable (such as power outlets, relays, smart locks, gate controllers, and motorized valves) and accept remote cloud-to-device commands.
- Physical Safety: You are solely responsible for ensuring that remote actuation, power switching, gate opening/closing, or lock manipulation does not create safety hazards, fire hazards, physical pinch points, property damage, or risk to human or animal life.
- Command Latency: Remote commands depend upon public networks, cloud message brokers, and sub-GHz wireless links. Commands may experience latency, packet drops, or delayed execution. Do not rely on real-time remote commands for time-critical emergency operations.
- Physical Overrides: Any physical equipment operated through controllable boards must incorporate independent physical, electrical, and mechanical safeguards (such as manual limit switches, emergency stop switches, and physical interlocks).
5. No Critical Life Safety or High-Risk Facility Use
THE SERVICES, FIRMWARE, TELEMETRY FEEDS, AND NOTIFICATIONS ARE NOT DESIGNED, TESTED, MANUFACTURED, CERTIFIED, OR INTENDED FOR USE IN HIGH-RISK ENVIRONMENTS OR CRITICAL LIFE SAFETY APPLICATIONS.
You shall NOT use the Services in connection with: (a) medical devices, life support systems, or patient monitoring; (b) emergency 911 dispatch or official life-safety alarm response systems; (c) nuclear power facilities or hazardous chemical operations; (d) aviation, aircraft navigation, or air traffic control; or (e) any environment where failure or interruption of the Services could lead directly to death, personal injury, severe physical damage, or catastrophic environmental harm. Pace Wireless LLC expressly disclaims any express or implied warranty of fitness for high-risk applications.
6. Wireless Radio Propagation & Telemetry Accuracy
The Services utilize Wi-Fi HaLow (IEEE 802.11ah) sub-GHz radio technology. You acknowledge that wireless RF performance, transmission range, RSSI, SNR, modulation coding schemes (MCS), and sensor data integrity are inherently subject to physical and environmental factors, including physical obstructions, multipath fading, terrain, weather conditions, antenna placement, and external RF interference.
Pace Wireless LLC does not warrant that telemetry transmission will be uninterrupted, error-free, continuous, or perfectly synchronized. Historical telemetry downsampling and storage retention (including 30-day cloud sample retention) are subject to platform storage constraints and maintenance schedules.
7. Acceptable Use Policy
You agree not to:
- Reverse engineer, decompile, disassemble, or derive source code of backend services, closed APIs, or private authentication endpoints.
- Abuse, overload, flood, or conduct denial-of-service (DoS) attacks against our API servers, MQTT brokers, or notification relays.
- Circumvent account authorization controls, inject spoofed device telemetry, or manipulate devices belonging to other accounts.
- Transmit unlawful, defamatory, infringing, malicious, or destructive software code or payloads through device telemetry or API endpoints.
- Resell, lease, sublicense, or commercially redistribute access to the cloud backend without prior written authorization from Pace Wireless LLC.
8. Intellectual Property
All software, algorithms, user interfaces, dashboard designs, API structures, graphics, trademarks, service marks, logos, and documentation related to the Services are the exclusive property of Pace Wireless LLC or its licensors and are protected by United States and international intellectual property laws. Except for the limited, non-exclusive, revocable right to access the Services in accordance with these Terms, no rights, title, or interest are granted to you.
9. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, PORTAL, APIS, TELEMETRY DATA, FIRMWARE IMAGES, FLASHER TOOLS, AND NOTIFICATIONS ARE PROVIDED ENTIRELY "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
PACE WIRELESS LLC SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, SYSTEM INTEGRATION, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, BE SECURE, OR BE ACCURATE OR ERROR-FREE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PACE WIRELESS LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS INTERRUPTION, EQUIPMENT DAMAGE, PROPERTY LOSS, OR PERSONAL INJURY), ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICES, FIRMWARE, OR CONNECTED DEVICES, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF PACE WIRELESS LLC ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PACE WIRELESS LLC FOR ACCESS TO THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00 USD).
11. Indemnification
You agree to defend, indemnify, and hold harmless Pace Wireless LLC, its subsidiaries, affiliates, officers, agents, and employees from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to: (a) your access to or use of the Services; (b) any hardware, sensors, actuators, or firmware deployed, flashed, or operated by you; (c) your violation of these Terms; or (d) your infringement or violation of any third-party rights or applicable laws.
12. Termination & Modification of Services
Pace Wireless LLC reserves the right, in its sole discretion, to modify, suspend, or terminate your access to the Services (or any part thereof) at any time, with or without notice, for conduct that violates these Terms or threatens system integrity. We also reserve the right to revise these Terms at any time by updating this document and revising the "Effective Date". Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
13. Governing Law & Dispute Resolution
These Terms and any dispute or claim arising out of or related to them shall be governed by and construed in accordance with the laws of the United States and the State of Delaware (or applicable domestic jurisdiction of incorporation), without giving effect to any conflict of law principles. Any legal action or proceeding arising under these Terms shall be instituted exclusively in federal or state courts located in the United States, and you consent to personal jurisdiction and venue therein.
